NexGel shareholders backed authorized share increase at special meeting
NXGL•Shareholders approve higher share authorization and reverse split range
At a Sept. 23, 2026 special shareholder meeting, NexGel won support to expand authorized common shares from 25 million to up to 150 million.
The board has discretion to file the authorized-share increase at any time within one year; the filing itself was not confirmed.
Shareholders also backed a discretionary reverse stock split, with the ratio set by the board within a 1-for-2 to 1-for-20 range.
The reverse split was not confirmed as executed; the board may implement it within one year following the vote.
Investors approved allowing adjournments to seek additional proxies if needed, though no adjournment was required.
