1. Acquisition Terms and Financing
Ondas agreed to buy DZYNE Technologies for $875.8 million in a mixed cash and stock transaction, with more than 50% of the equity consideration subject to a six-month lock-up. This structure aligns DZYNE management incentives with Ondas shareholders while preserving liquidity for strategic reinvestment.

DZYNE brings mission-proven autonomous aircraft, counter-UAS systems and expendable effects, along with positive EBITDA and established customer relationships in U.S. and allied markets. These assets expand Ondas’ multi-domain ISR, aerial security, precision strike and autonomous systems portfolio, accelerating its path to profitable growth.
3. Ondas Sentinel Division and Future Outlook
Ondas has formed the Sentinel division to integrate DZYNE and World View under a unified operating unit led by experienced CEOs. This new structure is designed to scale persistent ISR, autonomous effects and mission intelligence programs, leveraging common manufacturing, AI-enabled software and enhanced operating leverage.
