Option Care Health jumps on $5.8 billion take-private deal
OPCH•McKesson and Clayton Dubilier & Rice will buy Option Care Health in a deal worth about $5.8 billion including debt. Shareholders will receive $32.05 per share, a 37.1% premium to the company’s last closing price.
1. Deal terms
Option Care Health shares rose 33% after McKesson and private equity firm Clayton Dubilier & Rice agreed to buy the company. McKesson will invest about $1.4 billion for a 49% stake and will have the right to purchase CD&R’s remaining 51% at some point in the future. The deal is expected to close in the first half of 2027, after which Option Care Health will become privately held. A Leerink Partners analyst called the deal a “logical adjacency for an investment that furthers McKesson's broadening reach into various areas of vertical integration.”
