Bylaws amended and restated effective immediately

Palo Alto Networks adopted amended and restated bylaws on Aug. 20, 2026, effective immediately.

The changes align the bylaws with recent Delaware corporate law updates and evolving governance practices. Revisions address stockholder notice procedures, quorum and voting standards, proxy authorizations, board special-meeting authority and indemnification provisions.
