Recon Technology answers shareholder questions ahead of December 4 annual meeting
RCON•Recon Technology published shareholder Q&A ahead of its December 4, 2026, annual meeting, where shareholders will consider a possible 1-for-200 or 1-for-300 reverse split and increasing authorized Class A shares from 15 million to 3 billion. The board unanimously recommends voting for all proposals.
1. Proposed share changes
Shareholders will consider increasing authorized Class A Ordinary Shares from 15,000,000 to 3,000,000,000 before a proposed consolidation. The consolidation would permit a 1-for-200 or 1-for-300 reverse split within one year, but directors may decline to implement it.
2. Voting and proposals
Shareholders will also consider relocating the company to the British Virgin Islands. Capital reductions, consolidation, related capital amendments and relocation require two-thirds of votes cast; director elections, auditor reappointment and capital increases require simple majorities. Holders of record on October 23, 2026, receive one vote per Class A share and 15 votes per Class B share.
