Expanded Tempus data partnership and TxFM oncology license
Recursion Pharmaceuticals expanded its data partnership with Tempus AI, extending the term to six years from the effective date.
Revised annual license fees were set at USD 14 million on each of the third, fourth, and fifth anniversaries, with at least USD 4 million paid in cash.
Recursion’s right to terminate for convenience was removed, and the total unique de-identified records it can access over the term was reduced.
In a separate two-year oncology license, Tempus will have use of Recursion’s TxFM RNA model and will pay USD 12 million in two installments.
Tempus will provide access to de-identified pathology records with linked clinical data during the TxFM license term.
