BC Court Extends WonderFi AGM to July 2, 2026 Ahead of Robinhood Deal; Wisconsin Sues Over Sports Contracts

Robinhood’s planned acquisition of WonderFi saw a BC Supreme Court extend the WonderFi AGM deadline to July 2, 2026, paving the way for the H1 2026 closing of the arrangement. Meanwhile, Wisconsin’s DOJ sued Robinhood for offering sports-related event contracts, seeking injunctions under state gambling laws.

1. BC Court Extends WonderFi AGM

The Supreme Court of British Columbia issued oral reasons extending WonderFi’s annual general meeting deadline from August 24, 2025 to July 2, 2026 under section 186 of the Business Corporations Act (British Columbia), granting relief sought to support the pending plan of arrangement.

2. Robinhood-WonderFi Transaction Timeline

Under the amended arrangement agreement, Robinhood will indirectly acquire all issued and outstanding shares of WonderFi in the first half of 2026, subject to satisfaction or waiver of remaining conditions. Post-closing integration will enable deployment of Robinhood’s proprietary trading technology across WonderFi’s regulated platforms in Canada.

3. Wisconsin Sues Over Sports-Related Contracts

The Wisconsin Department of Justice filed a lawsuit in Dane County Court against Robinhood and four other platforms, alleging their sports-related event contracts violate the state’s ban on unlawful gambling. Authorities are seeking both preliminary and permanent injunctions to block those offerings as a public nuisance.
