Schneider National Misses Q4 EPS by 8¢; Rourke to Become Executive Chairman

Schneider National reported Q4 2025 earnings of $0.13 per share, falling short of the Zacks Consensus Estimate of $0.21 and down from $0.20 per share in the year-ago quarter. Revenue for the quarter declined 4.5% year-over-year to $2.15 billion, driven by lower freight volumes in its Truckload and Intermodal segments. Operating income contracted by 18% to $180 million, as diesel fuel costs rose 12% sequentially and driver wage inflation outpaced revenue gains. Adjusted operating ratio deteriorated to 87.3%, compared with 85.9% in Q4 2024, reflecting pressure on yield management and capacity utilization metrics. Management cited a 3.2% drop in average loaded miles per tractor and a slight increase in empty miles as key operational headwinds for the quarter.
2. Planned Leadership Transition Enhances Succession Plan
Schneider’s Board of Directors announced that Mark Rourke will become Executive Chairman effective July 1, 2026, after serving as President and CEO since 2019. Jim Filter, currently Executive Vice President and Group President of Transportation and Logistics, will assume the roles of President and CEO on the same date; he will later join the Board of Directors. Filter, 54, brings 27 years of tenure at Schneider, having overseen intermodal growth and digital freight solutions since 2022. Concurrently, James Welch will transition to Lead Independent Director after chairing the board since 2023. This succession plan seeks to leverage Rourke’s strategic vision—during his tenure Schneider expanded its intermodal network by 15% and grew dedicated capacity by 22%—while positioning Filter to drive the next phase of multimodal expansion and technology investment.
