Schneider National Q4 EPS Miss by $0.08; Jim Filter Tapped as CEO

SNDRSNDR

Schneider National reported Q4 EPS of $0.13, falling short of the Zacks consensus $0.21 and down from $0.20 a year earlier. Effective July 1, 2026, Mark Rourke will transition to Executive Chairman and Jim Filter will become President and Chief Executive Officer under the company’s succession plan.

1. Q4 Earnings Significantly Below Expectations

Schneider National reported adjusted earnings of $0.13 per share for the quarter ended December 31, 2025, falling short of the Zacks Consensus Estimate of $0.21 and down from $0.20 in the year-ago period. This 35% year-over-year decline in per-share results reflects continued pressure on net yields in truckload operations and elevated equipment costs. While the company did not disclose specific revenue figures, management acknowledged that intermodal and logistics segments also underperformed consensus revenue forecasts, citing softer freight demand in key U.S. markets and ongoing driver capacity constraints. Investors will focus on free cash flow trends, where Schneider generated approximately $200 million year-to-date, to assess its ability to fund capital expenditures and shareholder returns amid earnings headwinds.

2. Leadership Transition to Propel Next Phase of Growth

Schneider announced a planned succession effective July 1, 2026, elevating Mark Rourke to Executive Chairman and naming Jim Filter, 54, as President and CEO. Rourke has led the company since 2019, overseeing expansion of the intermodal network and growth in dedicated truckload services. Filter, who joined Schneider in 1998 and has 27 years of tenure, most recently served as Executive Vice President and Group President of Transportation and Logistics. He holds a bachelor’s degree from the University of Wisconsin–Green Bay and an MBA from Wayne State University. The board also appointed James Welch as Lead Independent Director. This leadership handoff is designed to sustain strategic initiatives—such as digital marketplace investments in Schneider FreightPower® and multimodal capacity expansion—while maintaining operational discipline and stakeholder confidence.
