Scotts Miracle-Gro extends JPMorgan receivables facility to Aug. 31, 2027, keeps USD 750 million cap

The structure remains non-recourse, subject to limited repurchase and indemnity obligations tied to eligibility breaches or post-sale dilution disputes.
Recourse exposure continues to be supported by USD 75 million in standby letters of credit issued under its senior secured revolving facility.
Proceeds from receivables sales are expected to be used for general corporate purposes.
Receivables facility extended through August 2027
Scotts Miracle-Gro extended its receivables purchase facility with JPMorgan Chase Bank through Aug. 31, 2027 from Sept. 1, 2026.
The facility permits weekly, uncommitted sales of up to USD 750 million of eligible customer receivables generated from five specified customers.
