Seer Board Urges July 28 Vote to Elect Seven Proteomics-Experienced Directors
SEER•Seer’s Board urged holders of record as of May 29 to vote on July 28 in favor of its seven nominees on the blue proxy, warning that dissident candidates from Bradley Radoff and Michael Torok lack proteomics, life sciences tools and platform operating experience. The Board highlighted Omid Farokhzad’s authorship of over 200 papers and 250 patents, Terrance McGuire’s decades of healthcare investing, and Dipchand Nishar’s growth–investing background as essential for overseeing proteomics strategy.
1. Proxy Contest Overview
Seer has scheduled its Annual Meeting of Stockholders for July 28, with a record date of May 29. The Board is urging shareholders to vote FOR its seven nominees on the BLUE proxy card to counter a slate from dissidents Bradley Radoff and Michael Torok aiming to replace three sitting directors.
2. Seer Nominees’ Expertise
Seer’s slate includes co-founder and CEO Omid Farokhzad, M.D., who has authored 200+ scientific papers and holds 250+ patents; founding partner Terrance McGuire, who brings decades of healthcare investing and governance experience; and Dipchand Nishar, with growth investing and tech leadership background, alongside four other industry veterans.
3. Dissident Candidates’ Shortcomings
The Board contends that Radoff and Torok’s proposed replacements have no proteomics or adjacent scientific platform expertise, no life sciences tools operating experience, no history scaling technology platforms and lack relevant public company governance and capital allocation experience.
4. Voting Process and Timeline
Shareholders as of May 29 can vote their shares by phone or online using the BLUE proxy card. The Board emphasizes that only votes FOR its seven nominees will protect Seer’s long-term strategy in the nascent proteomics market.
