Skyworks, Qorvo win shareholder approval for merger deal

Skyworks agreed to acquire Qorvo in a two-step merger, leaving Qorvo stock delisted and deregistered at closing.
Each Qorvo share converts into 0.96 Skyworks shares and $32.5 cash, with cash paid for fractional Skyworks shares.
Ownership is expected to be about 37% for Qorvo holders and 63% for Skyworks holders on a pro forma basis.
Regulatory and debt-related updates
Both companies’ shareholders cleared the deal on Feb. 11, 2026; the FTC issued a Second Request on Feb. 5, 2026.
Skyworks launched exchange offers on May 20, 2026 for Qorvo’s 4.375% Senior Notes due 2029 and 3.375% Senior Notes due 2031.
