SL Science seeks Nasdaq home-country exemptions from board independence, annual meeting, proxy and shareholder approval rules
SLBT•SL Science filed a notice seeking exemptions from selected Nasdaq governance requirements, including rules on board independence, annual meetings, proxy solicitation and shareholder approval for certain share issuances.
1. Exemptions sought
In a letter dated Sept. 24, 2026, SL Science said it filed a Cayman home-country exemption notice to bypass selected Nasdaq corporate governance requirements. The company plans to disclose in its Form 20-F which requirements it does not follow, citing Cayman practice; its letter states Cayman law permits this approach unless restricted by the company’s governing documents.
