It struck NusaTrip deals with Bookcabin and Gother, raising $3 million via a warrantless offering and adding 1.5 million shares.
1. Sapience AI Investment
Society Pass invested $8.8 million in Sapience AI, funded by $600,000 in cash and transfer of 1,822,540 NUTR shares, securing access to Nvidia’s Blackwell GPU-as-a-Service platform. Management expects this approach to accelerate growth and minimize capital expenditure compared with large-scale data centers.
2. Gorilla eSIM Stake Reacquisition
The company reacquired an interest in Gorilla eSIM with a $1.9 million investment, including $400,000 cash and 333,017 NUTR shares, after the business shifted from B2C to B2B. Greenridge Global notes that Gorilla’s performance under its new model may support an initial public offering within the next year.
3. NusaTrip Partnerships
Society Pass expanded its travel vertical by striking distribution agreements for NusaTrip with Indonesian OTA Bookcabin and Thailand’s Gother, integrating flight and hotel supply. These partnerships are expected to deepen market penetration and enable additional revenue streams from ancillary services.
4. December $3 Million Financing
To fund these acquisitions, the company closed a $3 million financing at $2.00 per share on December 31, adding 1.5 million shares to the capital base without warrant coverage. This clean offering should limit further dilution and strengthen the balance sheet for future investments.
