S&P Global Spins Off Mobility Division with One-to-One Share Distribution
SPGI•S&P Global completed the spin-off of its Mobility division, distributing one Mobility Global (MBGL) share for each S&P Global share held as of June 15; Mobility Global began trading today on the NYSE. S&P Global will publish recast financials for full-year 2025, quarterly 2025 and Q1 2026 on July 6.
1. Separation Details
S&P Global has completed the separation of its Mobility division into independent Mobility Global Inc. The separation was effected by distributing one share of Mobility Global common stock for each S&P Global share held as of June 15, with fractional shares converted into cash.
2. Mobility Global Trading Launch
Mobility Global stock began regular-way trading today on the New York Stock Exchange under the ticker symbol MBGL, marking its first session as a standalone public company. Existing S&P Global shareholders received their Mobility Global shares via book-entry statements or brokerage credits at 12:01 a.m. NYC time.
3. Upcoming Recast Financials
S&P Global will release recast financial statements for full-year 2025, the four quarters of 2025 and Q1 2026 on July 6, reflecting the completion of the spin-off. This recast aims to provide investors with standalone metrics for both S&P Global and Mobility Global.
