Spark I Acquisition fails Nasdaq business-combination deadline, faces delisting notice
SPKL•Spark I Acquisition received a Nasdaq notice after failing to complete a business combination by Sept. 29, 2026. Trading is set to be suspended Oct. 7, and the company still targets its ZincFive deal and aims to relist.
1. Nasdaq suspension planned
Nasdaq said it will suspend trading in Spark I’s Class A ordinary shares, units and warrants when the market opens Oct. 7, 2026. The exchange plans to file Form 25-NSE to remove the securities from listing and registration.
2. OTC trading and deal plans
The securities are expected to move to the OTC Pink Limited Market under SPKL, SPKLU and SPKLW, with no assurance of liquidity. Spark I still targets its ZincFive deal and aims to relist on Nasdaq or another national exchange as soon as practicable.
