Synopsys to sell Processor IP Solutions unit to GlobalFoundries, closing H2 2026

SNPSSNPS

Synopsys will sell its Processor IP Solutions business—including ARC-V, ARC CPU, DSP and NPU IP and ASIP Designer tools—to GlobalFoundries under a definitive agreement expected to close in H2 2026. The divestiture redirects Synopsys’ IP focus toward interface and foundation IP and AI-driven cloud-to-edge opportunities.

1. Strategic Divestiture to GlobalFoundries

Synopsys announced on January 14, 2026 that it has entered into a definitive agreement to sell its Processor IP Solutions business to GlobalFoundries. The portfolio includes ARC-V (RISC-V) and ARC CPU cores, DSP and neural network processing IP, as well as ASIP Designer and ASIP Programmer toolsets. Under the deal, GlobalFoundries acquires engineering teams, development frameworks and supporting software toolkits, while Synopsys commits to a seamless transition for customers and employees. The transaction is expected to close in the second half of calendar 2026, subject to regulatory approvals and customary closing conditions.

2. Focus Shift to Interface, Foundation IP and AI Opportunities

By divesting its processor IP arm, Synopsys is reallocating resources toward interface and foundation IP—such as high-speed SerDes, memory compilers, security engines and subsystem IP—where it holds market leadership. Management highlighted plans to invest in AI-driven offerings spanning cloud architectures down to edge devices for high-performance computing, mobile, automotive and consumer electronics customers. CEO Sassine Ghazi emphasized that this sharper focus will enable faster roadmap execution, improved PPA (performance, power, area) optimizations and greater R&D efficiency in core silicon-to-system solutions.

3. Financial and Operational Implications

Synopsys characterized the sale as non-material to its overall revenue base and did not disclose financial terms, reflecting a portfolio‐management emphasis rather than a transformational divestiture. Investors should note that the Processor IP Solutions business represented a small fraction of Synopsys’ annual revenue, with broader EDA, silicon design and embedded IP operations remaining intact. The company will continue supporting processor implementations through its leading EDA tool suite, ensuring no disruption to verification, signoff or digital-twin workflows for customers designing custom processors.
