After the sale, she holds 1.18 million direct shares and 2.34 million indirect shares valued at about $96.3 million using the $81.85 Dec.10 closing price.

1. Urban Outfitters Shares Drop 12% Despite Holiday Sales Gain

Urban Outfitters reported a 9% increase in holiday period net sales compared with the prior year, driven by solid performance across its Retail, Subscription and Wholesale channels. Retail sales grew 8%, supported by robust in-store traffic and a 12% jump in digital orders, while its Nuuly subscription rental service added 15,000 new subscribers over the quarter. Wholesale revenue climbed 10% as the company expanded partnerships with key department stores. Despite these gains, the company’s results fell short of Wall Street consensus forecasts for both revenue and same-store sales, prompting a 12% decline in the stock. Investors have pointed to higher promotional discounting and escalating supply-chain costs as pressure points on margins, contributing to a compression of gross profit to 35.8% of net sales in the quarter, down from 37.2% the prior year.

2. Co-President Executes $1.4 Million Indirect Share Sale

Margaret Hayne, Co-President and Chief Commercial Officer, completed an indirect open-market sale of 18,666 shares over two trading days in early December, generating approximately $1.4 million in proceeds. These shares were held in trust-managed accounts and did not affect her direct ownership, which remains at 1,176,273 shares with an estimated value of $96.3 million based on the most recent closing levels. Post-transaction, her combined direct and indirect holdings exceed 3.5 million shares. This sale follows a pattern of insider liquidity activity by both Hayne and CEO Richard A. Hayne, who last sold shares on January 8. Over the trailing twelve months, Urban Outfitters delivered $6.0 billion in revenue and $488.9 million in net income, representing 25.6% share-price growth for the period and a record-high closing level reached in early January.
