1. Acquisition of Quantum X Labs

On March 4, 2026, Viewbix finalized its purchase of 100% of Quantum X Labs Ltd. pursuant to a December 15, 2025 share purchase agreement, integrating a multi-disciplinary quantum technology hub into its operations.

2. Intellectual Property and Technology Portfolio

Quantum X Labs’ assets include a patented AI-Quantum Error Correction technology, quantum-based navigation solutions akin to GPS alternatives, next-generation atomic clocks for precision timing and quantum algorithms targeting transportation, drug discovery and security sectors.

3. Transaction Consideration and Dilution

In the acquisition, Viewbix issued common stock and pre-funded warrants representing approximately 40% of its capital stock as of the agreement date, with potential additional issuance of up to 12,702,847 shares or pre-funded warrants upon achieving specified post-closing milestones.

4. Capital Raise via Private Placement

Simultaneously, Viewbix closed a private placement issuing 800,000 shares at $1.75 and 640,000 warrants exercisable at $2.625, generating $1.4 million in gross proceeds to support general corporate purposes and working capital.
