VisionWave, Sadot form 50/50 joint venture for Composite Materials deal rights
SDOT•VisionWave and Nasdaq-listed Sadot formed a 50/50 Nevada joint venture on Sept. 30, 2026, to hold VisionWave’s rights tied to C.M. Composite Materials. VisionWave contributed about $7.81 million in advances and agreements, while Sadot committed $7.81 million in cash over 12 months and issued VisionWave 250,000 restricted shares.
1. Joint venture terms
The venture, CMJV, will hold VisionWave’s rights tied to C.M. Composite Materials, including a pending option to acquire 51% and a related lending position. VisionWave contributed about $7.81 million of advances and assigned its CM agreements to CMJV.
2. Sadot funding commitment
Sadot committed to provide $7.81 million in cash over 12 months, including $3 million by Dec. 30, 2026. If Sadot does not fully fund by Sept. 30, 2027, unit cancellations will occur through a pro rata true-up. Sadot also issued VisionWave 250,000 restricted shares as an entry premium, separate from the cash commitment.
