VivoPower swaps Ripple stake for 20% KWeather shares worth $4.3M
VivoPower completed a definitive agreement with KWeather Co., selling part of its Ripple Labs holdings for a 20% equity stake valued at $4.3 million. The company will transfer remaining Ripple shares to Lean Ventures and reinvest its resources to expand its powered land and AI data center infrastructure.
1. Definitive Agreement with KWeather Completed
VivoPower International PLC has finalized a transaction with South Korea’s KWeather Co. under which KWeather will acquire the economic rights to a portion of VivoPower’s Ripple Labs share holdings. In exchange, VivoPower will receive a 20% equity stake in KWeather valued at approximately $4.3 million. The balance of VivoPower’s Ripple Labs shares will be acquired by Lean Ventures pursuant to a partnership agreement first announced in December 2025. All Ripple Labs share transfers will be executed at prevailing market values and in accordance with the Ripple approval process.
2. Strategic Pivot to AI Data Center Infrastructure
With the definitive agreement in place, VivoPower will fully exit digital asset holdings on its balance sheet and redeploy capital and management resources into its core data center infrastructure business. The company, B Corp-certified and operational across six regions, intends to accelerate development of low-cost, sustainable powered land and data center facilities tailored for AI compute workloads. This focus aims to capitalize on growing demand for scalable compute capacity in select sovereign markets.
3. Corporate Structure and Spin-Out Plans
Founded in 2014 and listed on Nasdaq since 2016, VivoPower currently comprises four business units. Tembo, specializing in ruggedized electric fleet and microgrid solutions; Caret Digital, a power-to-X platform; Vivo Federation, the digital-asset arm; and the newly prioritized data center infrastructure segment. VivoPower has initiated plans to divest or spin out Tembo, Caret Digital, and Vivo Federation, with the goal of streamlining operations around its AI-focused infrastructure strategy.
