Vulcan Infrastructure majority holders clear PIPE issuance of 17,146,190 shares at $1.71 each

Majority stockholders delivered written consent on July 19, 2026, clearing a PIPE issuance that could shift control under Nasdaq rules.
The consent covers 17,146,190 Class A PIPE Shares at $1.71 each, a MIG Convertible Note of $10 million, and a MIG Warrant for 1,754,386 shares.
The PIPE is expected to raise about $39.4 million gross, with the proceeds aimed mainly at redeeming about $33.1 million of 8.50% Senior Notes due October 2026.
Stockholders also authorized a 2,500,000-share increase under the 2021 equity plan, lifting the pool to 5,083,111 Class A shares.
