Webtoon Entertainment agreed to buy a 60% stake in RI Games Holdings for about $100 million, funded with cash on hand.

The deal is structured in two installments, with the initial closing expected shortly after signing and a later closing subject to closing conditions.

The terms also include milestone-based options tied to the remaining 40% stake, payable in a mix of cash and Webtoon common stock, subject to a share cap.

The transaction is intended to create a dedicated pipeline to develop games from Webtoon IP, with multiple launches planned over the next four years.
