Weight Watchers Adds Two Independent Directors to Four Board Committees, Retains CEO Structure
Weight Watchers appointed Lisa Gavales and Sue Gove as independent directors to four Board committees, including Audit and Strategy & Finance overseen by Gene Davis. The Board will retain Felicia DellaFortuna and Jon Volkmann in the Office of the CEO with no interim chief while searching for a permanent CEO.

Weight Watchers updated its Board committee composition with Lisa Gavales and Sue Gove joining as independent directors. Audit Committee: Chair Gene Davis; members Sue Gove, Carney Hawks, Nikolaj Sjoqvist. Compensation and Benefits Committee: Chair Carney Hawks; members Gene Davis, Lisa Gavales. Nominating and Corporate Governance Committee: Chair Nikolaj Sjoqvist; members Gene Davis, Sue Gove. Strategy and Finance Committee: Chair Gene Davis; members Lisa Gavales, Carney Hawks, Mike Mason, Nikolaj Sjoqvist.
2. Office of the CEO Structure
The Board affirmed that CFO Felicia DellaFortuna and COO Jon Volkmann will continue overseeing the Office of the CEO without appointing an interim chief. New independent directors will advise this office while Weight Watchers engages an executive search firm to identify a permanent CEO.
