Western Digital to issue shares in unregistered exchange of USD 191 million convertible notes
WDC•Western Digital retires convertible notes in privately negotiated exchanges
Western Digital entered privately negotiated exchanges to retire about $191 million of its 3.00% Convertible Senior Notes due 2028.
- Holders will receive about $192.7 million in cash, covering principal plus accrued interest.
- Western Digital will also issue common shares for the remaining conversion value, priced off the Aug. 26, 2026 VWAP.
- Share issuance will rely on the Securities Act Section 4(a)(2) exemption from registration.
- Closings are expected on or after Sept. 2, 2026, subject to customary conditions.
