Wheeler REIT issues 1 million common shares in preferred stock exchange deal

Wheeler Real Estate Investment Trust agreed to issue 1,010,274 common shares in exchange for Series B Convertible Preferred Stock and Series D Cumulative Convertible Preferred Stock.
The deals were struck July 29 through Aug. 4, 2026 with unaffiliated existing securityholders, and the preferred shares exchanged were retired and canceled.
No cash proceeds were received. The issuances relied on the Securities Act Section 3(a)(9) exemption for exchanges with existing holders.
