As a first step, it signed a binding letter of intent to buy Skycore Digital’s three North Carolina sites, adding 24 MW of energized capacity plus an 18 MW expansion path.

1. Phase One Infrastructure Plan

Z Squared has outlined Phase 1 of its AI infrastructure strategy, targeting 100 MW of AI-ready inference capacity across multiple U.S. locations within the next 18 months. The company will leverage its acquire-and-convert engine to secure grid-connected sites where power is already flowing, aiming to bypass the three-to-five-year timeline typical of greenfield developments.

2. Skycore Acquisition Details

As the initial execution step, Z Squared signed a binding letter of intent to acquire Skycore Digital, which comprises three North Carolina sites powered by Duke Energy. Skycore brings approximately 24 MW of currently energized capacity plus an additional 18 MW under existing Letters of Authorization, creating a total potential of 42 MW available for rapid conversion to AI inference workloads.

3. Execution Model and Financial Position

Operating from a virtually debt-free balance sheet following its April 2026 Nasdaq listing, Z Squared structures each acquisition with shareholder-aligned deal terms and stages conversion capital site by site. This disciplined approach aligns funding milestones with customer contracts and operational readiness, reducing balance sheet risk and ensuring timely execution.

4. Market Context and Customers

Power availability is the gating factor for AI infrastructure, with grid interconnection queues stretching three to five years for new sites. Z Squared’s rapid conversion model targets NeoCloud operators and large-scale AI compute customers, providing power, cooling, density, fiber, security, and operations while customers supply the compute hardware.
