BioRestorative Therapies filed a Form 12b-25 to delay its quarterly report for the period ended June 30, 2026.
Management expects to file the Form 10-Q within five calendar days of the original deadline.
Resignations and accounting review weigh on filing
The delay follows July resignations of the CEO-chairman and CFO, which cut financial reporting staff. The CEO is serving as interim CFO.
The company said it needs extra time to assess accounting for disputed employment agreements, including potential compensation expense, liabilities, or loss-contingency disclosure.
BioRestorative also flagged a significant year-over-year shift in results, ongoing net loss, capital needs, and going-concern uncertainty.
