Caledonia Mining Appoints July Ndlovu Chairman Following AGM with 56.47% Turnout

Caledonia Mining reported 103 shareholders at its AGM representing 56.47% of voting shares, with nine director nominees re-elected on vote support between 88.09% and 99.34%. Following the AGM, July Ndlovu was appointed chairman replacing John Kelly and Nick Clarke exited the board under the succession plan.

1. AGM Attendance and Director Re-Elections

At the AGM in St Helier, 103 shareholders participated in person or by proxy, accounting for 56.47% of voting shares. Nine director nominees were re-elected unopposed, with support ranging from 88.09% for Gordon Wylie to 99.34% for Mark Learmonth.

2. Board Succession and Leadership Change

John Kelly stepped down as chairman and July Ndlovu was appointed in his place as part of the board’s succession plan. Director Nick Clarke did not stand for re-election, departing the board after contributing technical expertise and supporting growth strategy since 2019.

3. Auditor and Audit Committee Updates

BDO South Africa Inc was reappointed as auditor for the coming year with remuneration approval granted to the directors. The board reaffirmed the audit committee by reappointing Tariro Gadzikwa, Gordon Wylie, Geralda Wildschutt and Lesley Goldwasser as members.
