Classover and 1Legion Form $50M GPU Infrastructure JV for AI Compute
KIDZ•Classover Holdings formed Ousia Compute LLC with 1Legion to deploy up to $50 million in NVIDIA GPU infrastructure, with Classover holding majority equity and leveraging a bare-metal model for H100, H200, B300 and Blackwell clusters. The venture supports the planned rebrand to KIDZ AI Inc. and targets enterprise GPU contracts.
1. Strategic GPU Joint Venture
Classover and 1Legion have established Ousia Compute LLC as a special purpose vehicle to deploy up to $50 million in NVIDIA GPU infrastructure, with Classover holding majority equity and 1Legion operating dedicated bare-metal servers. This joint venture aims to capture accelerating demand for generative AI, inference, robotics and enterprise compute capacity.
2. Infrastructure Specifications and Pricing
Ousia Compute plans to deploy H100, H200, B300 and forthcoming Blackwell GPU clusters in Tier 3+ data centers interconnected via InfiniBand networking. The platform will adopt a flat-rate pricing model that eliminates data egress fees and variable transfer costs for continuous, high-performance AI workloads.
3. Strategic Expansion and Rebranding
This initiative advances Classover’s shift into AI infrastructure and underpins its intended rebranding to KIDZ AI Inc., aligning the education technology provider with the infrastructure layer. The company will leverage this structure to pursue long-term contracts in AI education, enterprise AI and next-generation compute markets.
