Each tranche also requires total shareholder return above the median versus the S&P Composite 1500 electronic equipment components index.
Earned PSUs vest at the end of a four-year period, then face a one-year holding requirement; change-in-control triggers interpolation, and the holding requirement is eliminated.

Coherent set special all-PSU awards on Aug. 27, 2026 for senior executives, led by CEO James R. Anderson at USD 50 million.
Target values also include CFO Sherri Luther at USD 15 million, CTO Julie Eng at USD 15 million, and chief legal officer Rob Beard at USD 15 million.
