Spark AI Foundry signed a non-binding offer to buy 100% of the SPV owning EdgeMode’s planned 300 MW AI data center project in Malpica, Spain.
Closing is contingent on the project reaching ready-to-build status, targeted for end-2026 or Q1 2027.
Indicative pricing is EUR 1 million per MW of ready-to-build IT capacity, subject to valuation, due diligence, and third-party appraisal.
The scope covers development to ready-to-build only, excluding construction and operations.
Spark AI can terminate if ready-to-build status is missed by a long-stop date, with deposit returned and any standby letter of credit released.
