ENSGENSG

The Ensign Group will release its Q4 and fiscal 2025 financial results on February 4, 2026, and host a live webcast conference call on February 5 at 10:00 a.m. Pacific Time. The call will be replayable via the investor website until February 27 at 5:00 p.m. Pacific Time.

1. Ensign Group Expands Texas Footprint with Chateau Waco Acquisition

On February 1, 2026, The Ensign Group completed the acquisition of real estate and operations for The Chateau Waco, a 123‐bed skilled nursing facility in Waco, Texas. The property was purchased by a subsidiary of Standard Bearer Healthcare REIT, Inc., Ensign’s captive real estate company, and the facility will be operated under a long‐term lease by an Ensign‐affiliated tenant. CEO Barry Port highlighted that this addition bolsters Ensign’s mature Texas market cluster and enhances Standard Bearer’s statewide portfolio of healthcare real estate assets.

2. Simultaneous Portfolio Additions in Texas and Wisconsin

On the same day, Ensign acquired three additional skilled nursing facilities: Wylie Oaks Healthcare and Rehabilitation (106 beds) in Wylie, Texas; Sunset Valley Rehabilitation and Healthcare Center (80 beds) in Littlefield, Texas; and Timber Ridge Health and Rehabilitation (48 beds) in Stevens Point, Wisconsin. Each property was purchased by a Standard Bearer subsidiary and leased to Ensign‐affiliated operators under long‐term agreements effective February 1, 2026. These transactions add 234 beds to Ensign’s owned real estate portfolio and expand its operations into key regional markets.

3. Operational Growth in Arizona Strengthens National Presence

Also effective February 1, 2026, Ensign acquired operations—but not real estate—of Agave Grove Post Acute, a 225‐bed skilled nursing facility in Glendale, Arizona, under a triple‐net lease with a third‐party landlord. The transaction integrates a high‐capacity facility into Ensign’s Phoenix‐area care network, supporting the company’s strategy of clustering operations to realize staffing efficiencies and drive improved clinical outcomes.

4. Portfolio Totals and Strategic Outlook

These transactions raise Ensign’s total to 378 healthcare operations, including 47 senior living communities, across 17 states, with 160 owned real estate assets held by Standard Bearer Healthcare REIT. Management reaffirmed its pursuit of both well‐performing and turnaround healthcare businesses for acquisition or lease, targeting opportunities to optimize occupancy rates, enhance therapy margins, and generate stable, long‐term cash flows for shareholders.
