Fresh Del Monte Produce agreed to acquire select Del Monte Foods assets for $285M and expects to close by end of Q1 2026 pending HSR clearance. In Q4 fiscal 2025, net sales reached $1.02B with EPS of $0.67; full-year net sales hit $4.3B with adjusted EPS of $3.68.

1. Acquisition Details

Fresh Del Monte agreed to purchase select assets from Del Monte Foods for $285 million plus assumed liabilities under a court-supervised process. The deal covers vegetable, tomato, refrigerated foods and fruit units under Del Monte, S&W and Contadina brands, including global Del Monte intellectual property. U.S. Bankruptcy Court approval is secured, and closing is expected by end of Q1 2026 pending HSR antitrust clearance and customary conditions.

2. Q4 Fiscal 2025 Results

In the fourth quarter, net sales rose to $1.02 billion and diluted EPS reached $0.67. Strength in third-party ocean freight, higher banana selling prices and tariff-related price adjustments in North America offset volume declines in fresh-cut vegetables, yielding gross profit of $106 million and operating income of $46 million.

3. Full-Year Fiscal 2025 Performance

For the full year, net sales totaled $4.3 billion with adjusted EPS of $3.68 and adjusted EBITDA of $300 million. The company maintained leverage below 1x EBITDA, generated $245 million of operating cash flow, repurchased $30 million of shares and declared a $0.30 quarterly dividend.
