FTAI Infrastructure unit agrees to buy USD Group crude oil logistics assets for USD 255 million
FIP•FTAI Energy Partners agreed to buy USD Group’s Port Arthur Terminal and a 50% stake in Hardisty, Alberta DRU, for about $255 million. The assets are expected to generate about $50 million in annual EBITDA over the next 12 months.
1. Deal terms
The FTAI Infrastructure unit will pay about $255 million in cash, financed through assumed debt and an acquisition debt facility secured by Jefferson. The deal targets regulatory approvals in the fourth quarter of 2026 and includes assets supporting a long-term take-or-pay crude logistics contract with minimum volume commitments.
2. Terminal details
The Port Arthur Terminal handles about 50,000 barrels per day by rail and connects to Phillips 66 Beaumont via a 12-mile pipeline.
