
Gilat will acquire Comtech’s Satellite & Space Communications segment for $157.5 million, boosting projected annual revenue past $700 million and adjusted EBITDA to $80 million. Funded from Gilat’s $170 million net cash, the deal more than doubles defense revenues and expands U.S. engineering and manufacturing footprint, subject to regulatory approvals.
Gilat agreed to acquire the majority of Comtech’s Satellite & Space Communications segment for $157.5 million on a cash-free, debt-free basis. The transaction will be funded from Gilat’s existing cash resources, supported by a net cash position of approximately $170 million as of Q1 2026.
Combined operations are projected to generate over $700 million in annual revenue and $80 million in adjusted EBITDA. The acquired unit reported $195.2 million in adjusted revenue and $16.8 million in adjusted EBITDA over the trailing twelve months ended January 31, 2026.
The deal more than doubles Gilat Defense revenues and broadens its communications technology portfolio with RF, space electronics and Troposcatter capabilities. It significantly enhances its U.S. presence, engineering capabilities and manufacturing footprint to address larger defense and space contracts.
Deal completion is subject to regulatory clearances from CFIUS, the FTC, the DOJ under HSR and other customary conditions, with expected closing by end of 2026. Management will discuss details in a conference call and webcast.
