IM Cannabis agreed to sell IMC Holdings to Slil.com Holding, shifting its European-focused assets while keeping its Israeli medical cannabis operations.
Slil previously paid CAD 3 million in advances; it will also assume retained liabilities capped at about CAD 9.4 million, subject to adjustments.
The deal is expected to lift shareholders’ equity by about CAD 3 million, cut liabilities, improve working capital, and simplify the structure.
Closing requires completion of a pre-closing reorganization, a tax certificate from the Israel Tax Authority, and other consents.
The outside date for closing is Sept. 30, 2026.
