Private placement terms and expected use of proceeds
Intelligent Bio Solutions priced a private placement with a single existing institutional investor for about $5 million gross proceeds.
Issuance covers 2,036,659 common shares or Series M pre-funded warrants, priced at USD 2.46 per share-equivalent.
The deal includes Series N-1 warrants, immediately exercisable, plus Series N-2 warrants subject to stockholder approval; both strike at USD 2.33.
Closing is expected around Sept. 2, 2026; proceeds are earmarked for working capital and general corporate purposes.
Ladenburg Thalmann is exclusive placement agent; the securities were sold in an unregistered transaction with a resale registration filing due within 15 days.
