Jaguar Health issues 547,898 shares for $5.05 million 2025 note reduction
JAGX•Jaguar Health issued 547,898 unregistered shares to Streeterville Capital on Sept. 23, 2026, in exchange for a $5.05 million reduction in the outstanding balance of its secured promissory note.
1. Share-for-debt exchange
The exchange relates to a $10.81 million secured promissory note issued to Streeterville on Nov. 12, 2025. Jaguar Health said it relied on the Section 3(a)(9) exemption from Securities Act registration for the share issuance.
