Peoples Bancorp to buy Capital Bancorp in $728.1 million all-stock deal
PEBO•Peoples Bancorp agreed to acquire Capital Bancorp in an all-stock deal valued at about $728.1 million. Capital shareholders will receive 1.11 Peoples shares per share, implying $43.75 per share.
1. Deal terms
The combined company is expected to have about $14 billion in assets, $10 billion in loans and $11 billion in deposits. Capital shareholders are expected to own about 32% of Peoples after closing, and three Capital directors are set to join Peoples’ board.
2. Expected closing
The transaction is expected to close in the first half of 2027, subject to regulatory and shareholder approvals.
