PRF Technologies faces S.H.N. lawsuit seeking shareholder vote to replace three directors
PRFX•S.H.N. Financial Investments petitioned a Tel Aviv court to compel PRF Technologies to hold a shareholder meeting and replace three of its five directors. The court has issued no order, and the company disputes the claims.
1. Shareholder meeting petition
S.H.N. Financial Investments petitioned the Tel Aviv District Court on November 2, 2026, to compel PRF Technologies to hold a shareholder meeting. It seeks to replace three non-external directors, a majority of the five-member board, with its nominees.
2. Interim restrictions sought
S.H.N. also seeks interim restrictions on actions outside ordinary business, including asset dispositions, securities issuances and additional director appointments. The court has issued no order on the petition or interim relief; the restrictions could limit capital raising and strategic transactions. PRF Technologies disputes the claims and intends to defend its position. Its response is due within 20 days unless otherwise ordered.
