1. Appointment of New COO

Safe Pro Group announced the appointment of Colonel (Ret.) Jarret Mathews as its first Chief Operating Officer. In this role, Mathews will oversee operational execution and lead the acceleration of the company's government contract capture strategy for its AI-enabled defense and computer vision products, ballistic protection gear, and drone-based services.

2. Military Acquisition Expertise

Mathews brings over 25 years of Special Operations and defense acquisition experience, including leadership of the Joint Acquisitions Task Force at U.S. Army SOCOM and integration of AI and machine learning technologies. His career spans frontline operations in the Middle East, strategic liaison assignments with U.S. Central Command, and driving acquisition reform initiatives to accelerate innovation.

3. Inducement Share Award

To secure Mathews' commitment, the Compensation Committee approved 20,000 inducement shares of common stock under Nasdaq Rule 5635(c)(4). These shares are granted as an inducement material to his acceptance of employment and align with Safe Pro's strategy to strengthen its executive team for contract growth.
