Seer said it will remain an independent public company after its special committee unanimously rejected both acquisition proposals. The committee concluded a three-month review and determined that the offers undervalued the company and its future prospects. Radoff-JEC Group’s July 28, 2026, proposal offered $2.55 cash per Class A share with a contingent value right; Omid Farokhzad’s July 29 proposal offered $2.45 cash per share with two separate contingent value rights. Both proposals sought all outstanding Class A shares.
