SunPower issues 17,900,462 unregistered shares in prepaid forward settlement agreements

Further common shares may be issued depending on the stock’s trading price during the valuation period.
Unregistered issuance and possible cash amortization
Shares were issued in an unregistered transaction under Securities Act Section 4(a)(2).
One counterparty may receive monthly cash amortization payments of USD 50,000 from Oct. 31, 2026 if it has not realized its full adjustment.
