Tower Semi announces extraordinary shareholder meeting on compensation policy
TSEM•Tower Semiconductor will hold an extraordinary shareholder meeting in Israel on Nov. 25, 2026, to vote on an amended compensation policy that raises maximum annual equity awards to 13 times base salary for the CEO and seven times for other executives.
1. Meeting and proposal
Tower Semiconductor will hold the meeting in Migdal Haemek, Israel. The proposal maintains the CEO’s maximum bonus at 21 months’ salary for company metrics plus three months’ salary for individual performance, and caps executive sign-on bonuses at one annual base salary in cash or equity.
