Management cited no disputes with Marcum Asia over accounting, disclosures or audit scope, and said the fiscal 2024 and 2025 audit opinions were not adverse, disclaimed or qualified for scope or accounting issues. The only reportable matter was previously disclosed material weaknesses in US GAAP and SEC reporting expertise and IT controls.
