YYForce enters ATM equity sales agreement for up to $20 million with Spartan Capital Securities
YFOR•YYForce entered an at-the-market sales agreement with Spartan Capital Securities to sell up to $20 million of Class A ordinary shares. Spartan will receive a 3.75% fee on gross proceeds, and no shares are required to be sold.
1. Sales agreement terms
YYForce may sell shares from time to time at its discretion through Nasdaq or other trading markets, with private sales permitted if authorized. The company will cover certain related expenses, and either party may terminate the agreement under its terms.
