Charles Phillips stepped down effective Oct. 9, 2026, ending his roles as lead independent director and governance chair. Frank Martell was named lead independent director while retaining his audit committee chair role, and Steven Sordello became nominating and corporate governance committee chair while remaining on the audit committee.
