- The purchase price implies about 10.5x 2026E EBITDA, including about $165 million in tax benefits and about $30 million in run-rate cost synergies.
- The deal is expected to close in the fourth quarter of 2026.
- Financing is planned from cash on hand and committed bridge financing, later refinanced with debt.
