RedCloud Secures $120M India JV to Deploy RedAI in Apparel, Footwear
RCT•RedCloud signed a 20-year, up to $120 million licensing joint venture with Dheer Marketing India, securing a 51% stake and $6 million annual fee plus profit share. This deal marks RedCloud’s first deployment in Asia and first expansion into apparel and footwear across a $564 billion Indian consumer-goods market.
1. Joint Venture Structure
RedCloud and Dheer will form RedCloud India Private Limited with RedCloud holding 51% and Dheer 49%, under a twenty-year licensing agreement valued up to $120 million. The deal includes a $6 million annual license fee plus a share of profits generated by RedAI in India.
2. Market Expansion
This marks RedCloud’s first deployment in Asia and first expansion beyond FMCG into apparel and footwear across an addressable market of $564 billion. RedAI’s category-agnostic architecture will power distribution intelligence across India’s estimated $427 billion FMCG, $117 billion apparel and $20 billion footwear sectors.
3. Revenue Pipeline Growth
The India JV raises RedCloud’s combined contracted licensing revenue to up to $200 million, following prior agreements in Türkiye ($50 million) and Saudi Arabia ($30 million). Revenue recognition will depend on partner-generated revenues and profits over the JV’s term.
4. Strategic Implications
Partnering with Dheer leverages its distribution network spanning 15 Indian locations and leading consumer brands. This expansion positions RedCloud to capitalize on India’s 13 million kirana stores, growing middle class and surging demand for real-time trade intelligence.
